These terms govern the Zentra website, its account and the software licence. The offer is intended for businesses and self-employed professionals. Anyone subscribing on behalf of a company must be authorised to bind it. Mandatory legal provisions and specific written agreements take precedence.
2. What the service includes
Zentra brings together the functions described in the offer and in the version actually available: quotes, invoices, projects, scheduling, accounting, purchasing, till and payroll, together with Zentra Support and Zentra Autopilote, included in the Solo, Team and Pro plans. Functions depend on the platform and the installed version. The download page states the available versions and how to install them.
The working database is local. Some services require a connection: account, licence, invitations, synchronisation, archiving and remote backup. Continuous sharing of the complete database is available from version 1.67 after explicit activation. It includes payroll and attachments. Concurrent changes are not merged automatically: a local backup precedes the selected download, then unsent changes must be reapplied manually. A complete remote backup does not merge two databases either. Announced future features are not a guarantee of delivery on a specific date.
The client portal, the public API, the MCP server, webhooks, shop connections, sending by post and Autopilote’s online analysis also require a connection. Each of these functions is turned on separately by the company.
3. Account, trial and order
Creating an account does not trigger any payment. When a 14-day trial is granted, it comes with no commitment and no credit card; it does not automatically become a paid subscription.
To subscribe: choose a plan, read and accept these terms, then check the price, billing frequency and contact details on the payment page. You can correct your information or return to the website before confirming. The paid contract is concluded upon payment confirmation and order acceptance. Confirmation and the corresponding supporting documents are sent to the specified email address.
Test payments do not create a commercial subscription. Public payment access may remain unavailable while the service is prepared.
4. Plans, prices and authorised users
Zentra is offered in the Solo, Team and Pro plans, monthly or yearly. Gestion, Support and Autopilote are included. The analysis volume, the trial and plan changes are described in the subscription terms.
- Solo : 49 CHF per month or 490 CHF per year, 1 person in total.
- Team : 79 CHF per month or 790 CHF per year, 5 people in total.
- Pro : 129 CHF per month or 1290 CHF per year, 15 people in total.
The account holder counts towards this total. A pending invitation reserves a seat. Each member uses their own account; several devices can be authorised for the same person. An employee record without software access does not use a seat. The account holder chooses roles and removes access no longer needed.
The publisher is not subject to Swiss VAT and does not charge Swiss VAT on these subscriptions. The amount and any specific contractual arrangements are presented before payment. Existing subscriptions retain their contractual price unless a change is agreed.
The former Gestion and Support plans and the separate Autopilote option are no longer offered to new clients. Current subscriptions, trials and accesses continue under their terms.
5. Renewal and cancellation
The subscription renews at each due date, monthly or yearly, until it is cancelled. You can stop the renewal from subscription management or by writing to info@zentraapp.ch before the next due date. Cancellation takes effect at the end of the paid period; its end date is confirmed. The period already started remains payable, subject to a mandatory right or a refund agreement.
If payment fails or the licence expires, some features may become read-only. Export your documents and back up your data before the contract ends. Cancelling the subscription does not automatically delete the database on your devices and does not by itself constitute a request to erase the account.
6. Use, data and assistance
The customer provides accurate information, protects their credentials, holds the necessary rights to imported data and informs the people concerned. They check calculations, insurance settings, scales and documents before using or submitting them. Zentra is not Swissdec-certified and does not submit ELM declarations.
The customer remains responsible for their accounting, social security and tax obligations, managing employees’ permissions and backups. The local assistant is optional: its suggestions may contain errors and must be checked. Assistance is available at info@zentraapp.ch; no response time or continuous availability is contractually guaranteed without a specific agreement.
7. Connected services, API and integrations
Pingen, Payrexx, SMS providers, Shopify, WooCommerce and your mailbox are used with the company’s own account. Their prices, terms and availability fall under your contract with them; postage, SMS and payment fees are billed to you by these providers. Zentra does not guarantee their availability.
The client keeps its API keys secret, revokes them when they are no longer needed and chooses the tools and webhook addresses to which it entrusts its data. It has the consent needed to contact its clients by SMS or e-mail and follows Google’s rules for review requests. Drafts received through the API, the MCP server or a shop have no effect before they are approved in Zentra.
8. Payments, imports, exports and archives
Pre-payment checks, double approval and unusual-entry alerts help to spot an error or fraud; they do not guarantee that every one is detected. The client checks each payment order before sending it to its bank and remains responsible for the payments made.
Imports and fiduciary exports follow the formats published by the software concerned, where they exist. Check the preview before importing and the result in the destination software. An import can be undone; records and invoices already in use are then kept and flagged.
The client keeps its books and records in line with its legal obligations. The encrypted second copy of the legal archive depends on a recovery key that only the client holds: if it is lost, neither the client nor Zentra can read this copy. The physical location of this copy is not guaranteed to be in Switzerland.
9. Data protection and processing
The customer retains their rights to their data. The privacy policy describes the processing performed for the account, payment and operation of the service. The data processing addendum applies to company data entrusted to remote services. Data kept exclusively on a device is not made available to the publisher merely by using Zentra.
The customer must provide only necessary data. Exports, file deletion and closure requests follow the arrangements and retention limits stated in these documents.
10. Updates and interruptions
Updates may correct errors, change the interface or improve security. Their availability depends on platforms and distribution rules. Services may be interrupted for maintenance or following an incident. Report any reproducible defect to support; the publisher reviews it and indicates possible measures. Access restrictions may be necessary in the event of abuse or a security risk, with notice where possible.
11. Liability
Each party is responsible for its obligations under applicable law. The software does not guarantee freedom from all errors or automatic compliance with every particular situation. No clause in these terms excludes liability that cannot legally be excluded, including for wilful misconduct or gross negligence. The customer’s statutory rights in the event of defects remain reserved.
12. Changes to the terms and applicable law
The version date appears at the start of the document. A material change to the terms or price of an existing contract must be announced before it applies, with the option to stop renewal. New terms do not retroactively change a period already paid. If you disagree, contact support before they take effect.
Swiss law applies, subject to any applicable mandatory provisions. Competent courts are determined by statutory rules; no mandatory jurisdiction is excluded. These terms can be printed or saved as a PDF from this page.
